Maly App (UAE) Terms of Use

1. Who we are and what this Policy covers
These Terms of Use ("Terms") govern your use of the Maly mobile application and related digital services (the "App") in the United Arab Emirates. The App is developed and operated by Maly Tech Ltd ("Maly", "we", "us"), a technology company incorporated in the Dubai International Financial Centre, with its principal office at 702 Innovation One, DIFC, Dubai, UAE.
Maly is a technology provider. Maly is not a bank and is not licensed by the Central Bank of the UAE ("CBUAE") to provide deposit-taking or other regulated banking services. All banking products and services accessed through the App, including accounts, deposits, cards, payments, transfers, and savings and investment products (together, the "Banking Services"), are provided solely by Ruya Community Islamic Bank LLC (the "Bank" or "Ruya"), an Islamic Specialised Bank licensed by the CBUAE, with its registered office at Building No. 4, Marsa Ajman, Liwara 1, Ajman, UAE. The App acts only as a user interface to the Bank's systems.
The App also gives you access to services that Maly itself provides and that are not Banking Services, such as Group Saving (Circle) and optional paid subscription features (the "Maly Services", described in Sections 9 and 10).
1.1 Document hierarchy
Your banking relationship is with the Bank and is governed by the Bank's Personal Banking Terms and Conditions, its Schedule of Fees, its privacy notice, and any product-specific terms, each as published at www.ruyabank.ae and amended from time to time (together, the "Bank Terms"). By opening an account through the App you enter into an agreement with the Bank on the Bank Terms. If these Terms conflict with the Bank Terms on any matter concerning the Banking Services, the Bank Terms prevail. These Terms add to, and do not replace, the Bank Terms. For the Maly Services, these Terms prevail.
These Terms, and any customer-facing content in the App, are subject to the Bank's review and approval in accordance with applicable CBUAE regulations.
2. Role of Maly and role of the Bank
The Bank is solely responsible for all regulated financial activities. The Bank reviews and approves customer applications, performs all know-your-customer ("KYC"), customer due diligence, enhanced due diligence ("EDD"), sanctions and anti-money-laundering ("AML") checks, opens, operates, maintains, and closes accounts, holds all customer funds, issues cards, executes payments and transfers, provides savings and investment products, monitors transactions, and sends you account statements and transaction notifications through its own channels under its own branding.
Maly's role is limited to: providing and operating the App as an interface to the Bank's systems; collecting your information and documents and transmitting them securely and unaltered to the Bank; introducing you to the Bank; providing first-line customer support; and providing the Maly Services.
Maly does not, at any time: hold, receive, control, or have custody of your funds; make or influence any decision to approve, reject, or close an account; perform identity verification, screening, or risk assessment; provide banking, investment, legal, tax, or Shariah advice; or act as agent of the Bank. Maly has no authority to bind the Bank.
3. Eligibility, onboarding, and account opening
To apply for Banking Services through the App you must be at least 18 years old, be a UAE resident, and meet the Bank's eligibility criteria. The App collects your application information and documents, including through UAE Pass, and transmits them to the Bank. When you authenticate with UAE Pass you authorise the release of your verified identity attributes to the Bank through the App.
The Bank performs all verification, KYC, EDD, and screening and decides, in its sole discretion, whether to open an account for you. Neither Maly nor the Bank is obliged to accept any application, and the Bank may decline an application without giving reasons. The Bank may at any time require additional information or documents from you, directly or through the App, and may contact you directly. You must provide accurate, complete, and current information and update the Bank promptly when it changes.
Biometric data captured during onboarding, such as facial images and liveness checks, is collected with your explicit consent and used solely for identity verification and fraud prevention as required under CBUAE rules. Our Privacy Policy and the Bank's privacy notice describe this processing.
4. Your account with the Bank
All accounts opened through the App are accounts with the Bank, held in your name on the Bank's systems, operated in accordance with Islamic Shariah, and governed by the Bank Terms. All deposits are Customer Funds held solely by the Bank. You can access your account through the App, through the Bank's own mobile and online banking, at the Bank's service locations, and through the Bank's phone and email channels.
The Bank sends account statements and transaction notifications directly to you through its own channels. The Bank may, at its discretion and under the Bank Terms, freeze, block, suspend, or close your account. There is currently no government deposit protection scheme in the UAE; deposits are not protected in the event the Bank is unable to meet its financial obligations, as set out in the Bank Terms.
5. Cards
Debit cards and any other card products offered through the App are issued by the Bank under the Bank Terms and applicable card scheme rules. The App provides card management features as an interface to the Bank's systems, such as viewing card details, activating a card, setting or changing a PIN, applying transaction limits within the limits the Bank permits, freezing or unfreezing a card, and reporting a card lost or stolen. Each of these actions is executed by the Bank.
Card fees and charges are set out in the Bank's Schedule of Fees. Card transactions, including point-of-sale, e-commerce, ATM, and contactless payments, are processed and settled by the Bank. Transaction limits are set by the Bank and depend on your account type and membership segment. Disputes with merchants and chargebacks are handled by the Bank under the Bank Terms and card scheme rules; you can raise them through the App and we will route them to the Bank.
6. Payments and transfers
The App lets you instruct local transfers, international transfers, bill payments, standing instructions, and other payment types the Bank makes available. Every payment instruction you submit through the App is transmitted to and executed by the Bank under the Bank Terms. The Bank applies its cut-off times, daily limits, processing timelines, and fees as published in the Bank Terms and Schedule of Fees.
International and foreign currency transfers are processed by the Bank through its partner and correspondent institutions, and are subject to the exchange rates, timelines, compliance checks, and conditions described in the Bank Terms. You are responsible for the accuracy of the payment details you enter. The Bank may delay, decline, or reverse a payment in accordance with the Bank Terms, including for compliance, sanctions, or fraud prevention reasons. Maly does not initiate, authorise, execute, or settle any payment and does not handle your funds.
7. Savings and investment products
The App gives you access to Shariah-compliant savings and investment products provided by the Bank, including savings accounts and fixed term investment deposits, as structured and approved by the Bank and its Internal Shariah Supervision Committee ("ISSC"). Each product is governed by the Bank Terms and the applicable product-specific terms, including the underlying Shariah structure, profit calculation and distribution, early withdrawal conditions, and any reserves the Bank applies.
Profit rates are not guaranteed. Returns depend on the performance of the underlying Shariah-compliant investments, and losses may be deducted in accordance with the Bank Terms. The App displays product information supplied by the Bank; it is not investment advice. Before you invest, read the Bank's product terms and, where you need it, take independent advice.
8. Shariah status
The Banking Services are supervised by the Bank's ISSC and the Higher Shari'ah Authority. The ISSC supervises the Bank's products only. It does not review, approve, or certify the Shariah compliance of the Maly Services or of any other product or feature Maly provides. Maly makes no representation that the Maly Services comply with Islamic Shariah or with any particular interpretation of it. If Shariah compliance matters to you, seek advice from your own Shariah adviser before using the Maly Services.
9. Maly Services
Maly provides the following services in its own name. They are technology features, not Banking Services, and no customer funds are ever held by Maly in connection with them.
9.1 Group Saving (Circle)
Circle lets you create or join a savings group with other App users, set a shared goal, and track contributions. All contributions are made from and held in each member's own account with the Bank. Circle organises information and instructions; it does not pool, hold, or move funds outside the Bank's systems, and every movement of money remains a Bank transaction executed under the Bank Terms. Maly is not responsible for the conduct of other Circle members, including any member's failure to contribute. Circle is not a deposit, investment, or credit product and generates no profit or return by itself.
9.2 Other features
Maly may add, change, or withdraw Maly Services from time to time. Material changes to a paid feature take effect in accordance with Section 10.4. Any new Maly Service that touches the Banking Services will be introduced only with the Bank's prior approval.
10. Subscriptions and Maly fees
Maly may charge subscription or usage fees for the Maly Services and for premium App features. These fees are charged by Maly Tech Ltd in its own name, for its own technology services only. Maly does not charge you any fee for any Banking Service. All fees and charges for Banking Services are set by the Bank and listed in the Bank's Schedule of Fees at www.ruyabank.ae. The current Maly fee schedule is available in the App and forms part of these Terms.
10.2 Billing
Subscription fees are billed in advance for each subscription period through the payment method you select in the App. Prices include VAT unless stated otherwise. If a payment fails, we may suspend the paid features until payment is made. Suspension of a Maly subscription never affects your access to your account or the Banking Services through the Bank's own channels.
10.3 Cooling-off and cancellation
You may cancel a new paid subscription within five (5) complete business days of subscribing and receive a full refund of fees paid for that subscription, less any reasonable, direct costs we have incurred and disclosed to you. After the cooling-off period you may cancel at any time with effect from the end of the current billing period; fees already paid for the current period are not refunded unless the law requires otherwise or Section 10.4 applies.
10.4 Changes to Maly fees
We may change Maly fees or introduce new ones. We will give you at least fifteen (15) calendar days' notice before an increase or a new fee takes effect. If you do not accept the change, you may cancel the affected subscription before the change takes effect and we will refund any fees paid for periods after cancellation on a pro-rata basis.
11. Consent, data protection, and privacy rights
By using the App you consent to Maly and the Bank collecting, processing, and sharing your information as needed to onboard you, operate your account, deliver the Banking Services and the Maly Services, provide support, prevent fraud, and meet legal and regulatory obligations. This includes the continuous, automated sharing of account, transaction, identity, and support information between Maly and the Bank for the duration of your relationship.
The Bank is the data controller for Customer Data processed in connection with the Banking Services; Maly processes that data on the Bank's documented instructions. Maly is the controller of data processed for the Maly Services and for operating the App. Our Privacy Policy at www.maly.ai/privacy and the Bank's privacy notice at www.ruyabank.ae describe this processing, your rights, retention, and cross-border transfers. Your personal data is not transferred outside the UAE except as permitted under applicable law and the Bank Terms.
You may withdraw consent by contacting the Bank or Maly. Withdrawal may result in suspension or termination of some or all services provided through the App, and processing carried out before withdrawal remains lawful. Data may continue to be retained where the law requires, including AML record-keeping.
12. Your obligations and security
You must: use the App only for personal, lawful purposes and in compliance with these Terms and the Bank Terms; keep your device, login credentials, PINs, OTPs, and biometric access secure and not share them with anyone; notify us and the Bank immediately of any suspected unauthorised access, loss, or theft; keep your contact details up to date; and not use the App for business purposes unless the Bank has approved a business product for you.
You must not: copy, modify, reverse engineer, or interfere with the App or the Bank's systems; use the App to violate any law, including AML and sanctions laws; submit false or misleading information; or attempt to access another person's account or data. We may suspend or terminate your access to the App for breach of these Terms, and the Bank may take action on your account under the Bank Terms.
13. Support and complaints
13.1 First-line support by Maly
Maly provides first-line support for the App: general inquiries, onboarding interface issues, navigation help, and technical troubleshooting. Contact us in the App or at contact@maly.ai. We respond within eight (8) business hours and resolve issues within our control within two (2) business day.
13.2 Account matters handled by the Bank
All account-related, transaction-related, and regulatory matters are handled by the Bank. If you raise such a matter with Maly, we will refer it promptly to the Bank without alteration or delay. 13.3 Complaints
Complaints about the Maly Services or the App: contact Maly at contact@maly.ai. We acknowledge complaints within two (2) business days and give you a final written response within thirty (30) business days. Complaints about the Banking Services, your account, or any transaction: the Bank's complaints process under the Bank Terms applies, and the Bank investigates, decides, and communicates the outcome. If you remain dissatisfied with the Bank's final response, you may escalate in accordance with the Bank Terms, including to the CBUAE (www.centralbank.ae).
14. Availability and changes to the App
We work to keep the App available at all times, and we maintain business continuity and disaster recovery arrangements, but we do not guarantee uninterrupted availability. The App may be unavailable during maintenance, updates, or events outside our control, and specific features depend on the availability of the Bank's systems. If the App is unavailable, you can always access your account through the Bank's own mobile banking, online banking, and other channels. We may update the App from time to time; some updates are required for continued use.
15. Intellectual property
The App, the Maly name, marks, and all software, design, and content in the App belong to Maly or its licensors, except Bank materials, which belong to the Bank. We grant you a personal, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose. No other rights are granted.
16. Liability
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable UAE law, or any right you hold under applicable consumer protection regulations, including the CBUAE Consumer Protection Regulation and Standards.
The Bank is responsible for the Banking Services in accordance with the Bank Terms. Maly is not liable for acts, omissions, or decisions of the Bank, including account decisions, payment execution, profit distribution, or account closure. Maly is responsible for the App and the Maly Services. To the extent permitted by law, Maly's liability to you is limited to direct and actual loss caused by Maly's fraud, negligence, wilful misconduct, or breach of these Terms, and excludes indirect and consequential loss, loss of profit, and loss of opportunity. Where you have paid Maly subscription fees, Maly's aggregate liability for the Maly Services in any twelve (12) month period is limited to the fees you paid to Maly in that period, except where the law does not permit that limit.
You are responsible for loss caused by your breach of these Terms, your failure to keep your credentials secure before notifying us, or your provision of inaccurate information.
17. Suspension and termination
You may stop using the App at any time and may cancel Maly subscriptions under Section 10.3. Closing your account with the Bank is governed by the Bank Terms, including your five (5) business day cooling-off right after account opening and your right to close at any time.
We may suspend or terminate your access to the App: for material breach of these Terms; where the Bank instructs us to, or closes or suspends your account; where required by law or a regulator; or on sixty (60) calendar days' notice for any other reason. If your access to the App ends but your account with the Bank remains open, you can continue to access the Banking Services through the Bank's own channels. On termination we refund any prepaid Maly subscription fees for periods after the termination date on a pro-rata basis, unless termination was for your material breach.
18. Changes to these Terms
We may change these Terms with the Bank's approval where required. We will give you at least sixty (60) calendar days' notice of changes through the App or by email before they take effect, except changes required by law or regulation, changes in your interest, or clarifications, which may take effect sooner with notice as soon as possible. If you do not accept a change, stop using the App and cancel any subscription before the change takes effect; continued use after the effective date is acceptance. Changes to the Bank Terms are made and notified by the Bank under the Bank Terms.
19. General
These Terms are available in English and Arabic; in case of conflict, the Arabic text prevails where UAE law requires. If any provision is held invalid, the rest remain in force. You may not assign your rights under these Terms. We may assign to an affiliate or successor, subject to the Bank's consent where the Collaboration arrangements require it. No failure to enforce a right waives it. These Terms, together with the documents they reference, are the entire agreement between you and Maly for the App.
20. Governing law and disputes
These Terms are governed by the federal laws of the United Arab Emirates and the applicable laws of the Emirate of Dubai. Disputes between you and Maly concerning the App or the Maly Services are subject to the exclusive jurisdiction of the courts of Dubai, without prejudice to any right you have to complain to a competent consumer protection authority. Disputes concerning the Banking Services are governed by the Bank Terms, under which UAE law applies, Islamic Shariah prevails in case of conflict, and the courts of the UAE have jurisdiction.
